Terms and Conditions for SEO Services
Introduction
These Terms and Conditions govern the provision of SEO (Search Engine Optimization) services provided by Transference Web Design ("we", "us", or "our") to the Client ("you"). By engaging us for SEO services, you agree to be bound by these Terms and Conditions.
Services
Transference Web Design will provide SEO services as described in the project proposal. Our services may include, but are not limited to, keyword research, on-page optimization, content strategy, link building, error analysis, and data analytics. We employ best practice SEO techniques in all areas of our services; however, we cannot promise specific search engine rankings due to the ever-evolving and competitive nature of SEO and numerous other factors that are out of our control.
Client Obligations
Provide admin access to your website and any necessary accounts using the email hello@transferencewebdesign.com. We do not accept private user/pass information for security reasons.
Provide any additional information or content required for SEO optimization.
Review and approve deliverables within the timeframes specified.
Ensure that all materials provided do not infringe upon intellectual property rights or violate any laws.
Payment
Billing Structure for SEO Services unless otherwise agreed upon
Upfront Payment: A payment covering the first 3 months (1st, 2nd, and last month) is required immediately upon receipt of the initial invoice to commence work on the project.
Monthly Payments: After the initial 2 months, monthly payments of the agreed-upon amount are due on the same day each month until 30 days notice of cancelation.
Payment Terms
The initial upfront invoice is due immediately upon receipt to commence work on the project.
Subsequent invoices are due within 7 days from the invoice date. Payments received after these periods will incur late charges of $50 per day up to one week. Beyond one week of non-payment, the contract will be considered breached, and the agreement will be canceled. In such cases, all payments previously made will be forfeited to Transference Web Design.
Additional Costs
Fees for any third-party tools, software, or services required for the SEO project are not included in our service fees and will accrue separately. Clients are responsible for these additional costs unless otherwise specified in the project proposal or agreement.
Additional Services
Any additional services not outlined in the original proposal, including but not limited to web design, development, or other marketing services, will be quoted and invoiced separately.
Intellectual Property
All SEO strategies, content, and optimizations implemented by Transference Web Design will become the intellectual property of the Client upon full payment.
Transference Web Design retains the right to showcase the results of the SEO campaign in our portfolio and for marketing purposes unless otherwise agreed upon.
Revisions and Acceptance
The project proposal will specify the frequency of SEO reports and reviews. Additional work beyond this scope may be subject to additional charges. Acceptance of the SEO services will be deemed to occur when you signify approval of the deliverables and reports provided.
Professional Conduct
Transference Web Design is committed to maintaining a respectful and professional working environment. We expect all interactions between Transference Web Design and the Client to be conducted in a professional and respectful manner. To clarify our expectations:
Unprofessional Language: This includes, but is not limited to:
Use of profanity or offensive language
Derogatory or discriminatory comments related to race, gender, religion, sexual orientation, or any other protected characteristic
Excessive sarcasm or condescending tone in communications
Threats or intimidating language
Abusive Behavior: This encompasses:
Verbal aggression, including yelling or raised voices during meetings
Written aggression, such as using all caps, excessive punctuation, or aggressive tone in emails or messages
Personal attacks or insults directed at Transference Web Design staff
Repeated and unreasonable demands or expectations
Misconduct: This includes:
Harassment of any kind, including sexual harassment
Intentional misrepresentation of facts or project requirements
Attempts to manipulate or coerce Transference Web Design staff into performing work outside the agreed-upon scope
Sharing confidential information or intellectual property without authorization
Failure to adhere to agreed-upon payment terms without communication
Communication Style: We value clear, straightforward, and professional communication. As such:
All parties are expected to engage in direct and honest dialogue.
Passive-aggressive communication is not acceptable. This includes, but is not limited to:
Indirect or veiled criticism
Sarcasm used to express frustration or disapproval
Deliberate procrastination or withholding of information as a form of expression
Aggressive communication styles, including verbal or written hostility, will not be tolerated.
We encourage open, respectful discussions to address any concerns or disagreements.
Expectations for Professional Dialogue:
All communications should be focused on the project and its objectives.
Feedback, whether positive or negative, should be constructive and specific.
If conflicts arise, all parties are expected to approach resolution in a calm and solution-oriented manner.
Respect for time and boundaries is essential, including adhering to agreed-upon meeting times and response windows.
Consequences: If a client engages in any of the above behaviors or any other conduct that Transference Web Design deems unprofessional, abusive, or contrary to our communication standards:
Transference Web Design reserves the right to immediately terminate the contract without prior notice.
The client will be invoiced for work completed to date, which shall be payable immediately.
No refunds will be issued for prepaid services.
Transference Web Design may, at its discretion, provide one warning before termination, depending on the severity of the conduct.
Dispute Resolution: In cases where there is a disagreement about what constitutes unprofessional conduct or inappropriate communication, we encourage open dialogue to resolve issues. However, Transference Web Design retains the final right to determine what behavior is unacceptable within the context of our professional relationship.
Meeting Environments and Conduct
Transference Web Design is committed to maintaining a professional and productive atmosphere for all client interactions, including virtual meetings. To ensure the quality and effectiveness of our communications:
Suitable Meeting Environments: Clients are expected to join virtual meetings from a quiet, private location that allows for clear communication and focus. This includes, but is not limited to:
A home office or quiet room
A private office space
Any environment that minimizes background noise and distractions
Unsuitable Meeting Environments: The following environments are considered unsuitable for conducting meetings, even virtually:
Coffee shops or other public spaces with significant background noise
Moving vehicles (whether as a driver or passenger)
Any location that may compromise the privacy or quality of our discussion
Rescheduling Policy: If a client finds themselves in an unsuitable environment at the time of a scheduled meeting, we request that they contact us to reschedule. We will make every effort to accommodate a more suitable time and date.
Right to Reschedule: Transference Web Design reserves the right to reschedule any meeting if we determine that the client's environment is not conducive to a productive discussion. This decision is made at our discretion and is intended to ensure the best possible outcome for our collaboration.
Notification: Clients are encouraged to notify us in advance if they anticipate any issues with their meeting environment. We are happy to work with you to find a solution or reschedule as necessary.
By agreeing to these terms, clients acknowledge the importance of a suitable meeting environment and commit to adhering to these guidelines for all interactions with Transference Web Design.
Termination
Either party may terminate the agreement with written notice if the other party breaches these terms and fails to correct the breach within a specified timeframe. Additionally, Transference Web Design may terminate the agreement immediately and without notice in cases of client misconduct, as outlined in the Professional Conduct section.
Upon termination, you will be invoiced for work completed to date, which shall be payable immediately.
Limitation of Liability
Transference Web Design will not be liable for any indirect, special, or consequential losses or damages arising from our provision of services. Our total liability under any agreement shall be limited to the total fees paid by you for the services rendered. We make no guarantees regarding specific search engine rankings or business outcomes of the services provided.
Confidentiality
We will maintain the confidentiality of your information and will not disclose it to third parties without your consent.
Dispute Resolution
Any disputes arising under these terms will be resolved through mediation or arbitration in Clark County, Nevada, as agreed upon by both parties.
Governing Law
These Terms and Conditions shall be governed by the laws of the State of Nevada, and both parties submit to the jurisdiction of the courts in Clark County, Nevada.
Amendments
We reserve the right to update or modify these terms at any time without prior notice. Your continued use of our services after any changes signifies your acceptance of these changes.
Acceptance
By engaging Transference Web Design for SEO services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
